Open Question: Does anyone have any comment on my decision to buy Praesepe (PRA) shares?
Praesepe plc is an AIM listed company with the specific purpose of consolidating the very fragmented UK and European AGC (the technical phrase for Amusement Arcades) industry. The plan is to build a business by acquisition with EBITDA of £100m within 2 years and to exit, via means of a trade sale, on an 8x multiple. The CEO, Nick Harding, started this journey once before as CEO of Talarius plc. From June 05 to Jan 07 he grew Talarius to become the largest UK AGC operator (200 sites), taking the share price from 80p to 280p in the process. His plans for Talarius were cut short – in a nice way – by an earlier than expected, acceptable offer to sell to an Australian based trade buyer on a 9x multiple. The expectation was that Talarius, under its new ownership, would continue with its acquisition plans but, due to problems in its home market, it hasn’t. Nick’s no compete clause expired and he began the same journey again with Praesepe. This time he and his main backers are more determined to reach the £100m EBITDA target and an early buy out offer is, therefore, less likely to be accepted. Praesepe is at the early stage of its journey. At the time of writing it has 54 sites across the UK, EBITDA for the 6 months to July 09 of £1.14m, a strong deal pipeline and a market capitalisation of £17.8m. The main shareholder (38.5%) is Marwyn – a big backer (and beneficiary) of Talarius previously. It is committed to the plan and is unlikely to sell out before the target exit. Depending on the size of the business being bought, Praesepe has acquired sites / groups of sites on EBITDA multiples up to 7x, with the average around 5.2x. Nick Harding is President of BACTA (the AGC trade body) and is well thought of in the industry across Europe – this makes doing deals that bit easier. On acquisition, sites are usually rebranded (Cashino), refitted with new machines on a revenue share model with leading manufacturers (uniquely for the industry – lower capex requirements / no ‘failed’ machines) and the operations are sharpened across the board. Based on The Crystal Room (so far the flagship Praesepe site in Leicester Square, London), such actions have a dramatic impact on revenue and earnings: The Crystal Room weekly revenue is +60% versus the weeks before the acquisition was completed. Acquisitions will be funded by a mix of new equity and debt. Currently there are 220m shares in issue, with 400m authorised. Have in mind that there is the potential for dilution unless further investments are made as new shares are issued. If the business sells for £800m with 400m shares issued, that is £2 a share. New Obama plans: 'spend our way out' of downturn By PHILIP ELLIOTT, Associated Press Writer Philip Elliott, Associated Press Writer 2 mins ago WASHINGTON – President Barack Obama outlined new multibillion-dollar stimulus and jobs proposals Tuesday, saying the nation must continue to "spend our way out of this recession" until more Americans are back at work. Without giving a price tag, Obama proposed a package of new spending for highway, bridge and other infrastructure projects, deeper tax breaks for small businesses and tax incentives to encourage people to make their homes more energy efficient. "We avoided the depression many feared," Obama said in a speech at the Brookings Institution, a Washington think tank. But, he added, "Our work is far from done." For the third time in a week, Obama sought to focus on job creation, noting that the unemployment rate was still at 10 percent in November, though down slightly from its 10.2 percent peak. He said "a staggering" 7 million Americans have lost jobs since the recession began two years ago. While his proposal did not include the kind of direct federal public works jobs that were created in the 1930s, he said government could set the stage for more job creation by private businesses. A major part of his package is new incentives for small businesses, which account for two-thirds of the nation's work force. He proposed a new tax cut for small businesses that hire in 2010 and an elimination for one year of the capital gains tax on profits from small-business investments. Obama also proposed an elimination of fees on loans to small businesses, coupled with federal guarantees of those loans through the end of next year. He called for more government spending on infrastructure projects such as roads, bridges and water projects and for new tax breaks for consumers who invest in energy-efficient retrofits in their homes. This could be what some administration officials have called a "Cash for Caulkers" program modeled on the now-expired Cash for Clunkers program of tax rebates for people who turned in old cars for more fuel-efficient models. The administration also is eyeing ways to get money still not spent in the $787 billion stimulus bill passed last winter into projects more quickly. Obama did not characterize his new proposals as another stimulus program like that mammoth measure, but Republican critics have called it just that and have said it will increase a federal deficit that is already at a record level. Obama included sharp criticism for Republicans in his speech, accusing them of opposing economic stimulus efforts and his health care overhaul while supporting tax cuts and spending that have ballooned the deficit. My husband is unemployed. He is being paid to re-model his male friends entire house,so, this is like a full time job to him. His friend won't pay him until the job is done, so, I think he is really trying to get it done asap. He is always at his male friends house 7 days a week. We don't eat breakfast or lunch together.There is no communication. He comes home, plops in front of the TV, I make dinner, he eats in front of the TV and falls asleep. I am for drilling in ANWR and off-shore drilling and drilling across the US wherever. I do not believe in cap and trade laws since global warming is a naturally occuring condition I am against same-sex marriage, but support civil unions I only support windfall profits taxes on oil companies, NO OTHER BUSINESS. We talked for quite a few months before we decided to meet in person - and by this time we had both developed “crushes” on each other. So he and his friend came up to Michigan and we hung out. And during the time we were “hanging out”, he and I kind of went on a “sexual safari” lol. But anyways, a few days after he went back home – on September 28th to be exact – he ended up asking me out, and I said yes. After that, in like the first or second week of October, we met one more time, and went on another “sexual safari”. Since then we haven’t hung out because he cannot afford the gas money to get up here, and I am not allowed to leave because of school, and my insane mom. But we talk everyday. However, Carl has been depressed lately because he is not in school, is out of a job, and he and I cannot see each other. Furthermore, he talks about marrying me and he wants me to come live and go to college in Ohio when I graduate in June. But, the other day, when he was really bored and apparently no one else was available, he had his ex of one year over. ok, basically this is whats going on: My younger sister is highly interested in modeling. Ive taken her to some open calls and scouting events, but what we really decided to do is just have me be her agent. It makes sense seeing as how im her big sister and have best interests at heart. I had to write a essay to get into the advanced training for my trade tell me what you guys think Why I believe I should be accepted into the Shriver Advanced Training Program. I feel that since I went through my computer repair trade at a pretty rapid pace, I should be able to do the same at Shriver. As a matter of fact I will be taking my A+ certification test by week’s end. David Brinkley once stated “A successful man is one who can lay a firm foundation with the bricks others have thrown at him”. I believe the determination and focus that has been instilled in me would make me a great asset to Shriver Job Corps Center. I originally came to Job Corps as a last opportunity, but I soon realized the ability of advanced training to provide a high source of income for me and possibly a family in the future. I was attending Valencia Community College but my family had to relocate. I ended up having to owe money to financial aid, in spite of that I was doing pretty ok for myself. I found a job with a tech Support call center for SanDisk but eventually they ended up laying everyone off and found myself collecting unemployment. After months of searching for employment I realized the jobs were not that easy to come by, that’s when I decided to make the call to Job Corps. I will be taking the network+ certification after I finish the Comptia A+ certification. My original plan was to get into Cisco but I soon realized it wasn’t available so I went with my second choice getting my Microsoft Certified Systems Engineer (MCSE) Certification. While at Job corps I got the opportunity to setup the Business Tech Class and their 22 computers by myself which included installing a print server, network deployment of Deepfreeze and NetOP. All of which I learned on the spot using the internet as my guide. As you can see I have a personality that tends to thrive for knowledge. Determination and focus are the best of my characteristics. I believe that I will highly benefit from Shriver’s Advanced Training program as well as become beneficial and a model student for Shriver. Most of them wind up getting $20 Million or $50 million when all parts of their pay and compensation and pension and healthcare and expense account are figured in. So the idea that corporate America is ludicrously greedy and rapacious is not news to anybody who has actually been on planet Earth for the past 10 years, right. Now comes government, and says it wants a non-greedy, and non rapacious healtg insurance company. It wants to set one up. It wants a chance to compete with the insanely greedy private companies, maybe offer a better product, or make them offer better products by giving them some honest competion. Well, if that's all there were to the offer, only a real Chicago School Purist would object. So, what's the big objection to the Public Option? Here it is. Imagine a company that wanted to sell flood insurance. OK so they sell most of their policies in the floodplain areas of the USA. In order to attract customers they say "We will pay off on these policies even if you buy them after your house has been completely washed away and destroyed utterly by a flood." Well, of course they sell a lot of policies, particularly after big floods. Everybody whose house has been destroyed buys a policy for $5,000 and then puts in their claim for their destroyed house for $500,000. Miracle of miracles this company soon finds itself in big financial trouble. Why? Because $5,000 is a much smaller number than $500,000. Now come the company executives, and they say, "How were we to know that our business model was faulty?" We went to Princeton, Harvard, and Yale, we studied speechmaking, and community organizing, and political theory. We have never seen the inside of any business, met any payroll, done any cost accounting, kept any books, or developed any business models. How were we to know? Is this really similar to a health insurance company that agrees to insure all persons regardless of pre-existing conditions. Imagine that the person is like the house. Imagine that the pre-existing condition, perhaps glioma of the brain, is the house already having gotten washed away in the flood last week. Imagine that the premium is $5,000 per year. Imagine that the operation for the glioma costs $500,000. Now, the rule of arithmetic that we visited earlier is still true, $5,000 is a smaller number than $500,000. Who could possibly imagine that such a health insurance company would run into financial trouble, and quite quickly, and quite deeply? No one in government. They went to Princeton, Harvard and Yale, you know the drill. The problem is this: The bad flood insurance company only hurts itself, it's policyholders, its employees and it shareholders. It winds up in bankrupcy Court and gets eliminated, within about 6 months. But the bad (crazy) U.S. Government backed health insurance company, can't go bankrupt. It has the full faith and credit of the Federal government behind it, who can print money, or take the bad debt onto the Fed Balance sheet. So this becomes the money black hole. It's like a cash whirlpool. The money disappears down it, and never comes back, and it gets bigger and hungrier every day, every hour. The rathole down which USA disappeared. So -- the problem is all about the fact that the government has a completely crazy business model for how a health insurance company can operate -- and it's not their fault -- what do they know from insurance? Zilch -- they are community organizers! As a therapist, I'm required to state, "If this is a psychiatric emergency, please call 911." Roaring with laughter, she says, "Robin, the whole country is having a psychiatric emergency!" And she's right, because people running this country are off: off balance, off-world, off-putting, off their meds. Gallows humor, a knot in your stomach when Obama speaks, poor sleep. Your body is telling you that something is wrong. Even out here, things are starting to feel spooky. While it's always weird central in Berkeley, now there's a malaise in the air. Yes, there are plenty of people so far into the communist schtick, they would gladly sacrifice their children, their granny, and their life savings for the Left. But most liberals still want their houses, jobs, Hondas and iPods. When they voted for Obama, they weren't giving a thumbs up for the country to go the way of Ché. So there's a strange, foreboding vibe in these parts; that creepy feeling you get when you know there's bad news ahead. Many liberals look dazed and confused because they have no language, no information, no way of understanding what in the world is going on. Interestingly, there's this eerie silence about Obama. You don't hear a peep about him. Or course, liberals are still foaming at the mouth about Sarah Palin, tea baggers, birthers, and all things conservative. But adulation for Obama: Missing in Action. A telling sign: the life size black and white cardboard doll of Obama in a storefront near my office has been taken down. Where did it go -- to the local recycling center with other discarded Obamabilia? Because I'm a psychotherapist, I'm intrigued by what goes on inside and outside. People not only suffer because of neurotic minds, but because of what people do to us when they abuse their power. The family dramas, problems at work, or dysfunction in D.C. unnerve us. As Presidential nominee, Michael Dukakis, indelicately put it, "Fish rots from the head down." We have people at the highest echelons of our government who may be rotting this nation. They espouse twisted notions of humanity, like de-evolution and forced sterilization. They eat, drink, and sleep revenge. They are throwing much of this country, at least those of us who are paying attention, into a psychiatric emergency -- into trauma. They dominate. They control. They terrorize. They are abusers. Which is no surprise if you understand where Obama comes from. He was not schooled in the Martin Luther King, Jr. tradition of unity and nonviolence, as most naive liberals thought. Obama was educated in the Malcolm X way, the American political mafiosi: the Weatherman, Black Panthers, Black nationalists. What were these groups' lesson plans? "Blue eyed devils," "Jewish dogs," "By any means necessary." While the media and schools have whitewashed history, these groups were filled to the rafters with gangsters. Today's young radicals use sociopaths like Huey P. Newton as their role models, not the beneficent King. So when Sarah Palin's life is threatened for speaking the truth, this is the work of thugs. When Michael Savage is banned in Britain for passionately defending our country, this is persecution. When citizens receive death threats for deigning to ask a question about health care, this is terror. Some people think that Obama is just a harmless sheep in wolf's clothing because he doesn't raise his voice. If his underlings cause mayhem, well, that's not his fault. But the best and the brightest of abusers never get their hands dirty. Their work is done through a look, a blank stare, a grin, a devilish laugh. They can incite trouble without lifting a finger. So if you feel uncomfortable, and tense, and scared, this is why. This is what abusers do. They cause terror in us because of something old and something new. The old: memories get triggered of past trauma: our bad tempered parent, or abusive spouse, or bully boss. The body remembers. Suddenly you are 6 or l3 or 30 again, and you may respond with the same helplessness and anger and panic. But there's also new trauma, what's happening right underneath our noses; the never ending assaults on our freedom. The daily force feeding of leftist ideology designed to control every aspect of our lives. The health care rationing that threatens our families. The strangling of business through Big Brother intrusions. Joining with dictators; yawning when Iran and North Korea threaten; abandoning our allies. Indoctrinating our children and trying to turn them into the little Benedict Arnold's.
