Dear Sir, i had a company registerd as a pvt ltd company some 10 years back. but due to some circumstances the company become inoperational within a few months around 1998. but the company closure information was not send to the ROC. yesterday i received a letter from ROC with the following details: ----------------------- Reference: In the matter of the Companies Act, 1956. 1. Pursuant to section 560(1) of the Companies Act, 1956 I have to enquire whether your company is carrying on business or in operation. 2. If the company is not carrying on business or in operation then it will be my duty on receiving a letter to that effect, to publish in the Official Gazette and send to the company a notice that at the expiration of three months from the date of that notice the name of the company will be struck off the Register kept in my office and the company will be dissolved. 3. It will however be seen on reference to sub-section (5) of section 560 of the said Act, that this dissolution is subject to the provisions sthat the liability (if any) of every director and members of the Company shall continue and may be enforced as if the company had not been dissoved. 4. I shall be glad to receive a reply to this enquiry within a month from the date of this letter. The Conservatives get the big center of the country and the gulf coast states. And Alaska. I suggest you call yourselves the Christian Confederation of America. The CCA. During the partition there will be some messy splits, and a lot of dramatic exoduses and ethnic cleansing. Most of the city of Austin will be Liberals trapped far behind enemy lines, in the very Capital city of the Christian Confederacy! They will have to evacuate to North Carolina. Conversely, the entire population of Western Michigan will have to make a run for Missouri. A lot of Wall Street guys will be flying their private jets one - way to Dallas, while a lot of Liberal millionaires will say goodbye to their Montana ranches forever. We have to split the federal debt and each pay off half, because both Rep. and Dems have borrowed all that money. Right now national debt is 12.9 trillion. A little less than half of that added up during the administration of Pres. George W. Bush (sorry, just had to point it out). The Christian Confederation will eliminate income and business taxes, but they still have to find a way to pay back $6.5 trillion without that revenue. Choices I have: (1) Should I form new S-Corp (same name as in NV) in CA and disolve NV corp? Will I keep the same fed.tax ID I have already? (2) OR Should I make sure that it is registered as foreign corporation in CA and continue to operate it from CA (while earning additional income through my own consultancy)? I was looking for trainee financial jobs, and somehow Employer UK got my details. They emailed me saying my CV matched some of their positions. I was a bit confused as i did not recognise their name, but their jobs sounded perfect and excellent money too. I was suspicious when i got a call from a guy calling himself alex townsend from employer uk. He was waffling on about a potential employer, but i needed to show i had started studying a relelvant course. Luckily, i know the usual examiner for these qualifications and the price, so what they were saying did not add up. He was very pushy, and said he needed some card details to get things moving. He continued to call me, and got more and more pushy. He then emailed saying a potential employer was saying they would cover the remainder of my study skills. They also said if i did not get a job within 6 monhs i'd get my money back. Luckily i had the sense to google these people and it came up as a scam in several web forums. I contacted the police, he ran a search on the address they give on their website. No business is registered there, and employer uk are not registered at all with companies house. Do not give any money to these disgusting people - you'll never see it again and they'll likely drain your account.
