Openwave gets delist warning Silicon Valley / San Jose Business
Openwave Systems Inc. said Thursday it received a delist warning from Nasdaq because it hasn't filed its latest quarterly report.
Redwood City-based Openwave (NASDAQ:OPWV) said it is still investigating an employee's allegations that some senior managers improperly "managed" financial results.
The company plans to appeal the decision, which will put any delist action on hold until after a hearing.
. moreCarl's Jr. has appetite for online entertainment
Brad Haley, executive vice president marketing for Carl's Jr., confirmed his company was interested in shifting away from traditional digital advertising, but cautioned the initiative was in an exploratory phase.
"We've been intrigued by some ideas, but at this point we haven't made commitments to anybody," he said, noting that its CKE Restaurants Inc. corporate sibling Hardee's also might adopt such an approach.
Haley said the proposed programming could be in the vein of Carl's Jr.'s ballyhooed 2005 TV commercial featuring a bikini-clad Paris Hilton washing a Bentley, which became one of Internet video's first viral hits.
"Sometimes it relies on sexuality to be edgy but it doesn't always," Haley said. "Other types of humor can be edgy."
Haley said he was not interested in launching an online network per se as much as a series of webisodes with some degree of brand integration. more

First, let me say this, I have contacted my attorney regarding this matter but have not heard back yet so I'm presenting the issue to the community to get your opinions before I hear back. I only say this because I know I will get responses that say, speak to your attorney. Also, for the time being, I'm removing any identifying information like business names, reg numbers etc until I hear back but reading about the situation should give you a good idea of what is going on. I look forward to hearing everyone's answers... My business partner and I brainstormed for a name for a company we were starting together. Prior to officially incorporating the name we came up with, I thoroughly searched the USPTO website as well as each state business entity and trademark website/office for any potential conflicts. All sites except for one showed no record of any business name that was the same as ours or even similar or any trademark registered or applied for with that name. The one state showed a business name that was the same as ours however the business had its license revoked in 1997. A search of the internet showed no active use of the name. The only pertinent information I located was a business that operated in the south from the 1950s to 1990. Over the years of the business, it had several names until it ceased operations with our business name in 1990. Records showed it was listed as the same name as our from 1988-1990. In light of the inactivity, I incorporated my business on August 5, 2008 and began operations in September 2008 with no troubles and continue to do so on a daily basis. In mid summer 2009, our company began plans to exapnd into the state of Florida in 2010. In January 2010, we filed a trademark application for our name with the USPTO (No applications or registrations had been made with the USPTO up to this point). Soon after, I began to advertise our branch into Florida and several weeks after I received an email from a man demanding I remove all mention of my company from the internet or I would "hear from his lawyers." They claimed ownership to all aspects of the organization that ran from 1950-1990 despite their names no where listed in the company history that I located with the states. I replied by stating that a search found no record of their business being valid or their names in any records. I researched and discovered that these individuals were the names on record for the revoked license from 1997. The man explained that he keeps up to date with all fees and that their business is valid but the people in the corporations office at the secretary of states office are slow to update their website with the information. To confirm this, I called the state corporations office and asked to validate the business and they said it was revoked. I asked if they was any possible way for the business to be current and not have it updated on their website, the man I was speaking to laughed and said no. A few weeks later, a facebook and myspace profile appeared stating they were the "real" company and not to believe any "posers" and that they were planning a return in March 2010. However, their sites listed conflicting information despite what they earlier told me. On their sites, they say they were incorporated in 1993 despite their email saying they have ownership of the 1950-1990 entity. On their Myspace page, they say they have not been operating in 7 years despite my business operating continuously without fail since September 2008. I then received an email from a gentleman claiming to be the father and "majority" owner of the business saying once again to remove any mention of my business and he offered a completely different explaination from what his son said about the business not being current. He said it was because he found it to be more cost-effective to trademark the name (which there is no record of, my application is the only one submitted in any directory) then to incorporate their business which as "most" business owners know, you must have a license or be registered with the state in order to run a business that can be visited by the general public in person. I have not sent a cease and desist letter, I've only been retaining correspondence and collecting information to use when a cease and desist letter or possible legal suits are required. As far as I know, they are not aware of the application for the trademark and will not tell them until I can determine the best approach. I do not want to alert them with the fear of a possible opposition. Basically to ask my question, should I about using the business name even though I have been in continuous operations since 2008, am registered in the state of California and have an application filed for a trademark/servicemark with the USPTO when this other "company" has not been in operations (in their own words) in 7 years, does not have a current or valid business registration with their state (or any other stat moreOpen Question: Trading Business Name?

Here is chapter one of my story (I'm not asking about grammar I just want to know what you think of the plot so far. Also i have chapter 2 done and i am working on number 3 right now) On the first day of my adventure I woke up to my favorite song “It’s My Life” by Bon Jovi. Of course at the time I had no idea what was about to happen “Morning already?” I groaned. Suddenly my eyes shot open as I realized what day it was “It’s the first day of summer vacation and yesterday was my last day of 12th grade…that means freedom!” suddenly the phone rang “Hello?” I said when I picked up the phone it was my friend Mike on the other line. “Hey Michael,” said Mike “’Sup?” I asked casually “Not much, you?” “I just woke up,” “You just woke up? Dude it’s like 1 in the afternoon,” “So? It’s not like there’s school today,” “Dude there was a snow make up day today you missed school today and they said anyone who didn’t show loses their diploma and has to repeat the 12th grade,” “…what? Are you serious?!” I asked, panicking “Nope I’m just screwin’ with you,” “I’ll get you for that,” “You say that every time and yet you never do,” “Just you wait you’ll never see it coming,” “Yeah, yeah, I’ve heard it all before anyway I gotta go, talk to you later,” “Bye,” I said and hung up. Mike and I have been friends since grade school some people say it was fate because they had we same first and middle names, and, although it was fate, our names had nothing to do with it. Mike was the always the prankster and I always tried to get him back but never succeeded but I would always dream of the day when I would win, little did I know it would actually happen…but that’s for later. I walked outside, locked up my house, turned on the alarm, put Moose, my St. Bernard outside, and got in my car. I didn’t know where I was going I just knew I would drive until I felt like stopping I was free and that’s all I cared about. I was driving for a few hours and that’s when it happened. I was just driving along minding my own business when someone ran right in front of my car. I slammed on my brakes to try and stop in time but I still hit the guy and totaled my car. I immediately got out of the car to see if the guy was ok. “Hey man I’m so sorry you alright?” I asked the guy lying on the street. I turned the man over to see the blood coming from my forehead “Oh my god I think I killed him.” The man’s eyes slowly opened as I reached into my pocket “Take this and go to this address,” he said handing me a piece of paper “Tell him…Cerb sent you” and with those last words the man passed away and I walked to the gas station 2 miles away and called Mike. “Dude you gotta help me I think I killed a guy,” I said “What?! Where are you?!” “I’m at a gas station at where we used to drive,” “Alright I’ll be over ASAP,” “Thanks dude oh and bring 2 shovels.” A few hours later Mike showed up at the gas station “Come on I’ll take you there,” and they went to the crash site but my car was fine and there was no body “What the hell happened? My car was totaled,” I said “Well it looks fine now,” Mike replied not believing me. “You think I’m making this up!?” I asked now scared “Well earlier you did threaten to get me back,” “I didn’t mean like this,” “It’s over Michael you won I’m going home.” And with that Mike walked away and went back home. I stayed and looked at my car to make sure it was fine. I reached into my pocket, pulled out the paper with the address and ripped it up. After that I got in my car and drove to the gas station. I looked at my gas gauge. “Empty,” I muttered. I walked inside grabbed a soda and some snacks for the road and gave the cashier 20 dollars “Number 6,” “My favorite number,” the cashier replied. As I was leaving the cashier called back to him “Sir, I think you forgot something,” I walked back to the register to see a piece of paper “Tell anyone of our meeting and you will regret it, now then you will go to this address tomorrow or I will find you,” I grabbed the paper ran to the car and turned it on. When I looked in the gas station the guy at the register smiled a wicked smile and I glanced at the gas gauge and saw it was full and saw the 20 dollars in my cup holder and drove off. The next morning I woke up lazily, looked outside saw the bright sun and partial clouds and remembered the previous day instantly. “I’m not going to let my life be controlled by some creep I’ve never even met.” I carried on with my day normally which consisted of video games, eating, and watching television. This time as I was watching my favorite show the screen went fuzzy, turned off, and the man from earlier showed up on the screen. “Go to the address. Go to the address,” I repeated over and over. I tried changing the channel but it didn’t work. I tried turning off the TV. Nothing. I tried unplugging it, muting it,I have never seen secret life of the american teenager I've just always liked the name moose for a St. Bernard but i will change it anyway. moreResolved Question: Another Odd Japanese Question?
OK, I was interested in getting an inkan registered in Japan for business purposes. OK, simple enough. but I am wondering about if one should get it in Kana, or simply in the normal English. Again, this would be used for legal and business purposes? My first name is Ken, which surprisingly does have an equivalent in Japanese, although I am not sure of the Kanji. The rough equivalent name is Kensuke...which has the same literal meaning and the Celtic "Kenneth." Obviously just a coincidence, but I am wondering about how to write my name in Japan. Is a Western signature acceptable in lieu of the inkan? Thanks again.@Lutlam: The problem with using the kana is that most US names are long. I mean, Kenneth would take up most of the space. Then we have the middle initial and the surname...so my inkan would be the size of a tennis ball. LOL moreOpen Question: Can someone help me understand this?
Doubtless, there is a universal justice emanating from reason alone; but this justice, to be admitted among us, must be mutual. Humanly speaking, in default of natural sanctions, the laws of justice are ineffective among men: they merely make for the good of the wicked and the undoing of the just, when the just man observes them towards everybody and nobody observes them towards him. Conventions and laws are therefore needed to join rights to duties and refer justice to its object. In the state of nature, where everything is common, I owe nothing to him whom I have promised nothing; I recognise as belonging to others only what is of no use to me. In the state of society all rights are fixed by law, and the case becomes different. But what, after all, is a law? As long as we remain satisfied with attaching purely metaphysical ideas to the word, we shall go on arguing without arriving at an understanding; and when we have defined a law of nature, we shall be no nearer the definition of a law of the State. I have already said that there can be no general will directed to a particular object. Such an object must be either within or outside the State. If outside, a will which is alien to it cannot be, in relation to it, general; if within, it is part of the State, and in that case there arises a relation between whole and part which makes them two separate beings, of which the part is one, and the whole minus the part the other. But the whole minus a part cannot be the whole; and while this relation persists, there can be no whole, but only two unequal parts; and it follows that the will of one is no longer in any respect general in relation to the other. But when the whole people decrees for the whole people, it is considering only itself; and if a relation is then formed, it is between two aspects of the entire object, without there being any division of the whole. In that case the matter about which the decree is made is, like the decreeing will, general. This act is what I call a law. When I say that the object of laws is always general, I mean that law considers subjects en masse and actions in the abstract, and never a particular person or action. Thus the law may indeed decree that there shall be privileges, but cannot confer them on anybody by name. It may set up several classes of citizens, and even lay down the qualifications for membership of these classes, but it cannot nominate such and such persons as belonging to them; it may establish a monarchical government and hereditary succession, but it cannot choose a king, or nominate a royal family. In a word, no function which has a particular object belongs to the legislative power. On this view, we at once see that it can no longer be asked whose business it is to make laws, since they are acts of the general will; nor whether the prince is above the law, since he is a member of the State; nor whether the law can be unjust, since no one is unjust to himself; nor how we can be both free and subject to the laws, since they are but registers of our wills. We see further that, as the law unites universality of will with universality of object, what a man, whoever he be, commands of his own motion cannot be a law; and even what the Sovereign commands with regard to a particular matter is no nearer being a law, but is a decree, an act, not of sovereignty, but of magistracy. I therefore give the name "Republic" to every State that is governed by laws, no matter what the form of its administration may be: for only in such a case does the public interest govern, and the res publica rank as a reality. Every legitimate government is republican;10 what government is I will explain later on. Laws are, properly speaking, only the conditions of civil association. The people, being subject to the laws, ought to be their author: the conditions of the society ought to be regulated solely by those who come together to form it. But how are they to regulate them? Is it to be by common agreement, by a sudden inspiration? Has the body politic an organ to declare its will? Who can give it the foresight to formulate and announce its acts in advance? Or how is it to announce them in the hour of need? How can a blind multitude, which often does not know what it wills, because it rarely knows what is good for it, carry out for itself so great and difficult an enterprise as a system of legislation? Of itself the people wills always the good, but of itself it by no means always sees it. The general will is always in the right, but the judgment which guides it is not always enlightened. It must be got to see objects as they are, and sometimes as they ought to appear to it; it must be shown the good road it is in search of, secured from the seductive influences of individual wills, taught to see times and spaces as a series, and made to weigh the attractions of present and sensible advantages against the danger of distant and hidden evils. [business complaint letter for a school assignment] 5 Hill Street Madison, Wisconsin 53700 February 15, 2010 Ms. Lidia Marks President Lidia’s Soups and Sandwiches 123 Blossom Lane Boston, Massachusetts 01234 Dear Ms. Marks: My name is Jill Smith. I have visited your branch at 545 Main Street often over the past five years and have enjoyed the fast service and high quality of the food. Unfortunately my last visit was unpleasant. I would like you to reevaluate how you train your new employees and enforce the company’s policies. On February 16th, 2010, I came into Lidia’s Soups and Sandwiches to order my usual meal and noticed that the new cashier was wearing rubber gloves while operating the cash register. I watched as he took the money from the customer in front of me with his gloves on, and then proceeded to prepare a sandwich for her! He did not take his gloves off, wash his hands, and put on a new pair of gloves before he touched the food. When it was my turn to order, I told the new employee that I would appreciate it if he took off his gloves and put on a fresh pair before he prepared my food. The boy seemed annoyed by my request, but did as I had asked of him. When my order was ready the employee did not inform me to have a nice day or even smile. I left feeling disappointed. Ms. Marks, with a stronger training system, your employees will not only understand the importance of following the state's health code properly, but also server your customers with a smile. This will ensure that customers are happy and will want to come back. If I have another bad experience at Lidia’s Soups and Sandwiches, I’m not sure I will be coming back. I have created a company. Lets call it newyorkmedicine.com. Lets assume I sell medicine. I did trademark research and Whois research and a general google search. Nothing came up. They sell practically the same products under their own label and have been around longer than I have. Nowhere are they registered except their domain name. I did further research and found out that the owner promotes himself all over the internet as a tatto artist and his business newyorkmedication.com is located in Flagstaff, AZ. The telephone number on his website has been disconnected and there is no external links to newyorkmedication.com. Anything found is for his tattoo shop which the number is also disconnected. So my boss has a really really long and complicated last name, so she abbreviates it on the documents she hands out to our applicants. Now that there are tons of these documents floating around, she's scared that someone could exploit that fact and say that she provided them with false information, thus allowing legal action to be taken. Would that be possible, or is it just a silly little worry? Personally, I don't think it matters, but she just wants to make sure. I am planning to open an online business and would like to but a domain, but my company is not yet registered, should I register my company first as a legal structure than buy a domain by giving my company info or I can buy as an individual and than register my company? moreResolved Question: LLC forming question...?
okay let's say you open an LLC...and give your company the name "AAA Company"...do you have to display the "LLC" part in the company name? or can it be left out? Also...if you have the AAA a special way (design) and would like to have that be a trademark for your company, so let's say you decide to do another form of business with the same exact name so now instead of AAA Real Estate its AAA Photography...can you register/copyright that AAA design and do that? or what would be the best way? moreVoting Question: Why would anyone support mandatory registering of guns?
I don't want my name on any list that shows gun owners! It is nobody's business! Especially if that information went public, gun owners could really be discriminated against! Who's business is it anyway if you buy something that is legal? moreVoting Question: What to name my photography 'business'?
So, I'm mostly a hobbyist photographer with the hopes of one day getting into a small business. Right now I take photos for friends/family/word-of-mouth clients mainly for a very small fee, or for even free. I am concentrating mainly on completing college for now and taking photographs on the side. I live in Minnesota, so there is an abundance of wildlife/landscape to shoot. I shoot weddings, portraits, equine portraits and events, pets and landscapes, however when the mood strikes me, I'll shoot just about anything. As much as I enjoy shooting the photographs themselves, I enjoy photo editing just as much, if not more, so I'm not really sure if I want to include that in a name "Photography & Design". I'm really at a lose here, and in order to create a watermark, I'd like to have an official name (one of which I will be registering). I'd REALLY like to stay away from using my name or anything of the like, as I am a married woman and if I were to ever get divorced that would be a pain, let alone trying to sell a name based business after I go BIG (maybe one day lol) would be difficult. Any and all opinions are welcome ... Cant wait to hear what you all have! :D moreVoting Question: I need some business answers, about the type of business and registering.?

LLC? anything else? Hope it makes sense...let me know if you could be of any help moreResolved Question: Points on a license I dont even have! (I wasnt driving the car either!)?
Hello I got a car on HP which a friend was using for business. The car has recently been sold on again because this 'friend' did nothing but run red lights and park illegally and all the fines came back to me. I had to pay them because she wasnt paying them and the car was in my name and I wouldve had baliffs at my door. The car has now been sold on but Im still getting letters about unpaid fines (fines she said she would pay but obviously hasnt) On friday I had a letter from the courts saying I'd been stopped by the police but as I didnt produce my license Im now going to get 6 points on it. I dont have a license and probably never will. My friend has obviously been stopped and given my name and address because at the time the car was still registered to me. Im confused how the police allowed her to drive on when I dont have a license and my name wouldnt be in the dvla data base?? Im assuming this is what happened. I now cant get hold of my ex-friend because shes moved house and hasnt told me where shes gone. Does anyone know how I can solve this problem? Many Thanks! moreResolved Question: Car dealer hasn't transferred ownership - what to do?
We live in Melbourne, Australia, and bought a used car from a dealer nearly 5 months ago. Today, I called Vic Roads to assign personalised plates I have purchased, and was told that the dealer had not submitted transfer paperwork - the vehicle is still in the dealers business name! Given this fellows penchant for not returning calls or emails, I'd like to preempt a solution and ask is there any other avenue I can follow to make him do this? We have paid transfer fee and stamp duty to him on the day of purchase, and will of course try to contact him about it before getting too carried away. Also, I'm concerned about any other ramifications of driving around in a car registered in someone else's name - specifically TAC and other liability issues. Are there any concerns on this front? Any help appreciated - thanks. moreResolved Question: If I'm only working on building up my business at the moment, should I still register it?

My roomate and I had just left our house and we got pulled over. My roomate was driving and failed to stop before the stop sign. So the officer asked for his drivers license and the usuall. Since I was the registered owner she took my license too. She asked the driver where he worked and his phone number and had him sign the bottom not as an admission of guilt, but as a promise to show up in court. We leave and later I notice that she put my name and D.L. info at the top, but had place of business and phone number as his and then had him sign the bottom. She explained everything to him, the driver, and not to me directly and had HIM sign it. Can that get thrown out in court if I was not the driver and did not sign the ticket? moreResolved Question: Best Practises for Recording Expenses & Organising VAT Invoices?
We have recently formed a limited company and intend to register for VAT, as we have a lot of expenses where we could reclaim the tax. Since our business is internet based, many of the purchases are also made online. Some of these purchases are from international companies without a VAT number, some are from international companies with an EU VAT number, while other purchases are from UK with VAT numbers and others without VAT registration. When we are recording these expenses, what is the best way to organise all the records? For example, we can save a web page as a .pdf file or take a site screen shot as evidence of a VAT receipt. When saving these, do we separate each invoice into folders sorted by year, month or by company name (save all invoices from ABC company into one folder and XYZ company into another), and do we break it down further with separate folders for 'UK / non-UK / UK VAT / non-UK EU VAT / etc'. When reclaiming VAT it seems that we have to show totals for UK VAT, EU VAT, and even non-VAT applicable expenses. Some advice on how to save, organise and record these expenses would be appreciated. moreResolved Question: what do I have to worry about legally when naming my business?
I'm trying to create an LLC, just the company name. What happens if I register an LLC in my state as XYZ GROUP LLC, and there is a company called XYZ services LLC in another? can I get in trouble? LIke for example, there is a computer company called APPLE but i'm sure there are plenty of comapnies like Grandma's apples, or apple a day doctor's offices. or Apple Financial Services but what keeps Apple computer from coming in and saying HEY! you're name has apple in it so change it or we'll sue you! moreResolved Question: Has anyone heard of a scam running that involves?
I am being asked to set up a Company Registration and open a bank account for said company. In short, the basis behind this is for another company outside the continental US wants to do Business inside the US over the internet, and I am going to be the in-between for which this parent company is permitted to conduct Business inside the continental US. Obviously there is allot going on here that I am not sure of. All I know for sure is, they want me to sign a contract stating that I am an independent contractor, open a bank account under the name of the newly registered company. Does this sound like a scam that could get me into any form of trouble, or have a negative impact on me financially? It doesn't seem like a situation that they are trying to get personal information for identity theft because I am not being asked for any. I paid a web design company to develop a website for me. Unfortunately, I didn't do much research first. This company has a reputation for dishonesty. It is rumored that the reason the company changed its name last year was to throw off the stench of the reputation it got from so many complaints filed against it. I have dozens of emails from them documenting a variety of problems. I want to draw attention to their practices. So far, my efforts to draw attention to them have not done much. I was thinking of publishing a book about my experience trying to get a business started, which would focus heavily on this company sabotaging me. They even hijacked the domain name that I had them register for me preventing me from using it. According to what I have been hearing, they have sabotaged quite a few others trying to start businesses. moreResolved Question: Should i get the Microsoft certification course?

Hello all I'm researching and writing a book and am starting to have some expenses that I want to deduct if possible, since there's no profit here yet! For instance, I need to travel overseas this year and part of the trip will be in connection with this research. It has been advised by business people (not accountants) that I should claim these as business expenses. I'd love to, but have no idea if I need to register a business name (I would simply be using my own name-- eg, sole trader-- Lisa Smith, for example) in order to do that. If not , lovely-- but then how do I claim that as business expenses at tax time? I still have an ordinary, full time job. And do I need to tell Centrelink anything if I do this? I want to do everything right and above board. Appreciate any advice you can give. Please ask if I haven't given enough info. And if you answer, please advise source of your info! Many thanks! moreVoting Question: how can i check to see if a business name is available to register?
moreVoting Question: Can you get insurance for a dog walking business if you're a minor?
I have read everyone's responses thoroughly, to every one of my dog walking questions, but I wanted to make sure that all of this IS for 14 year olds? How much is the insurance and how can I get it? Is 14 old enough to get it? And any sort of contract (this is in Australia). Would the insurance be any different to normal health insurance? I know I don't know much about it yet, but I'm not planning on starting this tomorrow, or next week, I'm still going to look into it a lot more. Another thing is, everyone has been talking about contracts, insurance, some said things about tax and bonding. Being only fourteen, and having a simple business, would I need all that? It'd only be in my neighbourhood. In my neighbourhood I don't think there are many dog walkers since I've never seen any posters or advertisement on it. I'm planning to have people call and tell me when they want me to walk their dogs, I'll have a book especially to write everything down in, get the name, breed, address, maybe phone number, (can anyone think of anything else I may ask), then my friend, sister and I may go a bit earlier to make sure we know how to get to the house, then when the time comes, pick up the dog, take it for around 30 minutes or an hour, charging $5 per hlaf hour, then bringing the dog back, maybe with a report on the dog, since it would be fun to do :D. It wouldn't be an actual business with an office or anything, so would I have to register? And would I have to do those things I mentioned before? Also, sorry for asking too much but when clients called to book their dog, and I ask them al the questions(name, breed, address etc.) how would I ask them. I can imagine them thinking that being only 14 and not like a proper business, it's unnecessary? Or would they be happy knowing their dog is under the care of people who care? I understand that being 14, we might not get many clients, but the client knowing that we are walking their dogs in the familiar lake in our neighbourhood (where everyone walks their dogs), would that help? Thanks so much everyone.I sounded very malinformed on the questions to ask, above. I know also I will have to ask about health issues, behaviour with other dogs, people, training, spayed/neutered, etc.Thank you all, and Hoshiko, yours so far has been the easiest to understand. Just another question, do both I and the client have to have a copy of the agreement? moreTop Business Name Register Links
