1st Century Bancshares Announces Annual Meeting Results
1st Century Bancshares, Inc. (OTCBB: FCTY), the holding company of 1st Century Bank, N.A., today announced results of its annual meeting of stockholders, conducted May 29, 2008.
Stockholders elected all board-nominated directors, including two new directors, Eric M. George and Nadine Watt.
Stockholders resoundingly rejected the nomination of Zachary James Cohen to be elected to 1st Century Bancshares' board of directors. Excluding the shares owned by Palisair Capital Partners LLP, Cohen received approximately one percent of the outstanding shares of 1st Century Bancshares, Inc.

UPDATE 1-Merrill analyst sees Goldman bank buy more likely
N: Quote, Profile, Research) has considered buying a deposit-taking bank, a move that would help it fund its businesses during times of market turmoil, Merrill Lynch analyst Guy Moszkowski wrote on Monday.
The credit crunch has prompted analysts and investors to speculate that Goldman, eager to establish a new and more stable source of funds, would snap up a bank. The market talk has gained strength in recent weeks as rising loan losses and worries about the U.S. economy has made bank stocks cheap.
Moszkowski, one of the most influential analysts following the banking industry, adds to the growing speculation that Goldman, which has largely avoided the credit losses hobbling its rivals, is looking to acquire a bank.
"We still would not ascribe very high probability, but if a bank with excess deposits were available at the right price, with no need for Goldman to exit existing businesses, we'd no longer rule it out," Moszkowski wrote in a client note after meeting with four senior Goldman executives last week. more

The company also reported it is seeing increased earnings in its growing online business.
"We are not standing idly by," said Gary Pruitt, McClatchy CEO. "We are investing significantly in our online operations, including sales staff, realigning sales incentives to focus on driving sales and expanding online sales training budgets and efforts."
In the second quarter, the company's earnings were down 44.2 percent, from $44.2 million in the second quarter of 2007 to $18.8 million in the second quarter this year.
Both advertising and circulation revenue was down in the quarter and the half compared to the previous year periods.
Total revenue for the first half fell 14.7 percent to $978 million at the end of June. Total revenue in the second quarter fell 15.5 percent to $489.7 million, down from $580 million in the same period in 2007. more

I read elsewhere on the Arkansas corporate site that a revoked name prior to December 31, 1999 can not be registered for 15 years. I found a paper dating from 1902 hidden in the walls of my home. The paper was establishing ownership of a share in a local coal business that is no longer in business. I assume that the person who was named on the share of stock is deceased. I remember I was younger and i ended up seeing the Wu-Tang video for "Da Mystery of Chessboxin" and i was in awe. I didn't even remember their names for a couple months, matter fact i didn't know it until about a year later I downloaded the song and kept searching up more of the artist. I thought these guys were so damn amazing. I would pay attention to the words and wouldn't know half of them so that made me appreciate the artist even more due to there level of intelligence. But it doesn't end there. Later on I started searching up certain references these guys and other artist had made in their songs. As i was doing some searching i came to realize how much people like the Wu, Nas, Immortal Technique, Jedi Mind Tricks and more know. These people are putting out intelligent messages, while on the other hand, our next generation who truly seem to be going downhill (unfortunately), are listening to bullsh*t that's all about sex, party and bullsh*t like spending money. Sadly the majority of people who listen to this aren't living this lifestyle and must be in f***ing imagination land. The economy is bad, our government is failing, and corporations are becoming the head honcho. Now does it really seem like its time to party. Let's be for real we should be teaching our kids and younger siblings how to survive. Not to get used to getting money and spending it in a night. I personally feel that the messages these artist are sending out are what the companies who gave them a contract want them to put out. This is only marketing and it's only for business, getting used to that will leave them no where. In the end I'm not saying to ban this music, i mean it is enjoyable when your at a party or something I do admit. I did some selling in 2009 and didn't do it anymore. Payment is thru Paypal. I am confused about whether i need to file a tax report or not. If i have to file a tax report, this online selling was just an individual selling. I have no business name, corporation name, no employee, etc like in the Schedule C. Also, i don't sell any stuff anymore. I really have no idea how to fill in the Schedule C because it seems all the questions on that form are for commercial business which has a company name, employees, etc. If i don't report this 2009 online selling on my tax report, do you think IRS will find it? If i wanna report it, i have no idea how to do it? Does anybody know Paypal furnish our financial summary report to IRS or not? Weymouth — A bill filed by Sen. Robert L. Hedlund designed to prevent illegal immigrants from registering motor vehicles in Massachusetts has advanced in the Legislature and is gaining support from lawmakers. The Joint Committee on Transportation approved the bill Thursday, just two days after the Senate included similar language in its “Safe Driving Bill.” “It is clear that more and more of my colleagues recognize the danger that exists when loopholes exist that enable people without driver’s licenses and, without any sort of training, register and then get behind the wheel of a car,” Hedlund said. The measure was not included in the House version of the Safe Driving Bill. Differences between the House and Senate bills will be negotiated by a conference committee. Sen. Hedlund expects to be one of the six legislators named to the committee. “Including this piece in the final version of the Safe Driving Bill will be one of my top priorities as a member of this conference committee,” Hedlund said. “We cannot truly have safe roads, if we continue to make it easy for unlicensed and untrained drivers to own cars.” The Transportation Committee endorsement is important, he said, because it provides extra weight during the conference committee process. It also means that if the language is stripped out from the final conference committee report, it measure can still be passed as a standalone bill. State law currently prohibits illegal immigrants from applying for and receiving drivers licenses. However, drivers are not required to show proof they have a valid license when registering their vehicles. By taking advantage of this loophole, many illegal immigrants are able to drive legally registered cars without ever having to take a driver’s education course, or pass a road test. According to reports, there are approximately 170,000 vehicles on the roadway with so-called “X-registrations.” Although some belong to senior citizens who no longer drive, or to commercial business, the vast majority belong to illegal immigrants. Hedlund filed his bill, S 1921, after hearing from a number police officers complaining about difficulties policing illegal immigrant drivers. According to one North Shore police officer, during an 8-month period he pulled over 13 vehicles that ended up being registered to drivers without a valid license. Other police officers say illegal immigrant drivers also often cancel their car insurance, or let is lapse, once they secure their registration. This can lead to problems if an unlicensed, untrained driver without insurance is involved in a car accident, the officers say. The bill requires that corporations registering motor vehicles produce a federal tax identification number, or a social security number, if the business entity is a sole proprietorship. Hi, I was divorced 3 years ago and was 21 at the time and I don't really know what I signed, but I didn't want anything from him so I think it was a "quit something-a-ruther" that made the rental property we bought together all his. I didn't realize at the time that I would still remain responsible for the mortgage.... guess I should have read that... Anyhow, I had not heard from him for 3 years and he called me yesterday saying his family home is in forclousure and he is going to proceed with a short sale for the rental that my name is on. He has paid the mortgage on the rental without fail through Jan, but lost his job over a year ago and missed a payment in Feb. and is wanting to move forward with the short sale. My questions: 1. I own a business (an llc) can the lender come after me for my business or other assets? 2. If he opened an llc and tranfered ownership of the rental to that corporation could it save our credit histories or help in any other way? 3. The house has renters paying most of the mortgage monthly, but it is really upside down, has termites and would not be a smart buy if I were looking to buy.... still would it be better for me to offer to take over the payments if he were to sign the rental over to me to avoid the short sale? 4. But the commentator slams him by pointing out that there were actually 350,000 jobs lost on the private sector, while 80,000 NEW ones were created -- guess where? IN TEXAS GOVERNMENT!!! Eerie was the sidelight about the 'Tea Party Independent' candidate who, according to the commentary, lost her points and position when she appeared on the Glenn Beck radio show and was asked about US Government complicity in the events of 9/11. Nothing prepared him for the unnerving horror of encountering disagreement. Global warming alarmists, long cosseted by echoing media, manifest an interesting incongruity -- hysteria and name-calling accompanying serene assertions about the "settled science" of climate change. Were it settled, we would be spared the hyperbole that amounts to Ring Lardner's "Shut up, he explained." The global warming industry, like Alexander in the famous children's story, is having a terrible, horrible, no good, very bad day. Actually, a bad three months, which began Nov. 19 with the publication of e-mails indicating attempts by scientists to massage data and suppress dissent in order to strengthen "evidence" of global warming. But there already supposedly was a broad, deep and unassailable consensus. Strange. Next came the failure of The World's Last -- We Really, Really Mean It -- Chance, a.k.a. the Copenhagen climate change summit. It was a nullity, and since then things have been getting worse for those trying to stampede the world into a spasm of prophylactic statism. In 2007, before the economic downturn began enforcing seriousness and discouraging grandstanding, seven western U.S. states (and four Canadian provinces) decided to fix the planet on their own. California's Arnold Schwarzenegger intoned, "We cannot wait for the United States government to get its act together on the environment." The 11 jurisdictions formed what is now called the Western Climate Initiative to reduce greenhouse gas emissions starting in 2012. Or not. Arizona Gov. Jan Brewer recently suspended her state's participation in what has not yet begun, and some Utah legislators are reportedly considering a similar action. Brewer worries, sensibly, that it would impose costs on businesses and consumers. She also ordered reconsideration of Arizona's strict vehicle emission rules, modeled on incorrigible California's, lest they raise the cost of new cars. Last week, BP America, ConocoPhillips and Caterpillar, three early members of the 31-member U.S. Climate Action Partnership, said: Oh, never mind. They withdrew from USCAP. It is a coalition of corporations and global warming alarm groups that was formed in 2007 when carbon rationing legislation seemed inevitable and collaboration with the rationers seemed prudent. A spokesman for Conoco said: "We need to spend time addressing the issues that impact our shareholders and consumers." What a concept. Global warming skeptics, too, have erred. They have said there has been no statistically significant warming for 10 years. Phil Jones, former director of Britain's Climatic Research Unit, source of the leaked documents, admits it has been 15 years. Small wonder that support for radical remedial action, sacrificing wealth and freedom to combat warming, is melting faster than the Himalayan glaciers that an IPCC report asserted, without serious scientific support, could disappear by 2035. Jones also says that if during what is called the Medieval Warm Period (circa 800-1300) global temperatures may have been warmer than today's, that would change the debate. Indeed it would. In 2013, when President Mitch Daniels, former Indiana governor, is counting his blessings, at the top of his list will be the name of his vice president: Paul Ryan. The former congressman from Wisconsin will have come to office with ideas for steering the federal government to solvency. Not that Daniels has ever been bereft of ideas. Under him, Indiana property taxes have been cut 30 percent and for the first time, Standard & Poor's has raised the state's credit rating to AAA. But in January 2010, Ryan released an updated version of his "Roadmap for America's Future," a cure for the most completely predictable major problem that has ever afflicted America. Some calamities -- the 1929 stock market crash, Pearl Harbor, 9/11 -- have come like summer lightning, as bolts from the blue. The looming crisis of America's Ponzi entitlement structure is different. Driven by the demographics of an aging population, its causes, timing and scope are known. Funding entitlements -- especially medical care and pensions for the elderly -- requires reinvigorating the economy. Ryan's map connects three destinations -- economic vitality, diminished public debt, and health and retirement security. To make the economy -- on which all else hinges -- hum, Ryan proposes tax reform. Masochists would be permitted to continue paying income taxes under the current system. Others could use a radically simplified code, filing a form that fits on a postcard. It would have just two rates: 10 percent on incomes up to $100,000 for joint filers and $50,000 for single filers; 25 percent on higher incomes. There would be no deductions, credits or exclusions, other than the health care tax credit (see below). Today's tax system was shaped by sadists who were trying to be nice: Every wrinkle in the code was put there to benefit this or that interest. Since the 1986 tax simplification, the code has been recomplicated more than 14,000 times -- more than once a day. At the 2004 Republican convention, thunderous applause greeted George W. Bush's statement that the code is "a complicated mess" and a "drag on our economy" and his promise to "reform and simplify" it. But his next paragraphs proposed more complications to incentivize this and that behavior for the greater good. Ryan would eliminate taxes on interest, capital gains, dividends and death. The corporate income tax, the world's second highest, would be replaced by an 8.5 percent business consumption tax. Because this would be about half the average tax burden that other nations place on corporations, U.S. companies would instantly become more competitive -- and more able and eager to hire. Medicare and Social Security would be preserved for those currently receiving benefits, or becoming eligible in the next 10 years (those 55 and older today). Both programs would be made permanently solvent. Universal access to affordable health care would be guaranteed by refundable tax credits ($2,300 for individuals, $5,700 for families) for purchasing portable coverage in any state. As persons under 55 became Medicare eligible, they would receive payments averaging $11,000 a year, indexed to inflation and pegged to income, with low-income people receiving more support. Ryan's plan would fund medical savings accounts from which low-income people would pay minor out-of-pocket medical expenses. All Americans, regardless of income, would be allowed to establish MSAs -- tax-preferred accounts for paying such expenses. Ryan's plan would allow workers under 55 the choice of investing more than one-third of their current Social Security taxes in personal retirement accounts similar to the Thrift Savings Plan long available to, and immensely popular with, federal employees. This investment would be inheritable property, guaranteeing that individuals will never lose the ability to dispose every dollar they put into these accounts. Ryan would raise the retirement age. If, when Congress created Social Security in 1935, it had indexed the retirement age (then 65) to life expectancy, today the age would be in the mid-70s. The system was never intended to do what it is doing -- subsidizing retirements that extend from one-third to one-half of retirees' adult lives. Compare Ryan's lucid map to the Democrats' impenetrable labyrinth of health care legislation. Republicans are frequently criticized as "the party of no." But because most new ideas are injurious, rejection is an important function in politics. It is, however, insufficient. I would like to start a small technical services firm . My issue is that I would like to start a Spanish version with one name and domain A , and another in English with another name and domain B . Is is acceptable to create an LLC C such that I advertise both A and B , yet operate only as company C ? I ask because I want to avoid the costs of forming 2 LLCs and because I may think of other names for the same service down the road, and don't want the hassle of re-forming the business . I have a do-not-call number but I happen to live in Canada where there are so many exceptions that I get more telemarketing calls than real calls. For the past week, my cable & internet company has been calling me once or twice a day. Last month I had the same problem with my phone company. These are both very large corporations and if you live in Ontario, you probably know which ones they are. Normally, if I don't recognize a number, I don't pick up the phone. Most telemarketers give up after 3 or 4 calls, but not these two companies. The name of the company doesn't appear on the caller id but I know it's them because I went to whocallsme.com and typed in the phone numbers. When I phoned back the number for the cable company, I was able to leave a message asking to be removed from their list but they say it may take 31 days. I don't want them to torment me for another month. Last month, the phone company gave me the line about 31 days, but when I threatened to cancel the service, they stopped calling me. The cable company ignores that threat. Would they continue to call if ordered more service? Whenever they call, I have to stop what I'm doing and check to make sure it's not a real call. I'm a widow, living alone with a home-based business. I'm already looking for new companies for similar services. They have me so upset. Why do they think they can make my life hell and get more business out of me? Are the telemarketers paid by the number of calls they make? If I cancel because of these calls, does the service department get the blame? Does the right hand not know what the left hand is doing? It's easier to keep existing customers than to find new ones.
