Cummins ends joint ventures Business First of Louisville

Cummins Inc. announced Friday that it has ended joint venture operations with CNH Global N.V. and Iveco N.V., two companies owned by Italian automobile- and heavy equipment-maker Fiat Group.

Columbus, Ind.-based Cummins (NYSE: CMI) will purchase CNH’s equity stake in Whitakers, N.C.-based Consolidated Diesel Co., and will sell its interest in the European Engine Alliance, Cummins reported in a news release.

The EEA was founded in 1996 as a joint venture between Cummins, Iveco and New Holland, which now is CNH Global, to develop engines. EEA has manufacturing operations in Turin, Italy. Cummins will sell its one-third interest in the EEA to Fiat Powertrain Technologies.

The Test Center has looked at other members of the iPAQ family before. The 910 follows the other iPAQs in look and feel -- sleek, high-gloss black, and easy to hold. The fit and finish is of high quality and the 910 doesn't get very hot to touch, a very important criterion for a handheld device.

Measuring 4.5 x 2.5 x 0.6-inches and weighing 5.4 oz, the 910 is average size. Much slimmer than the Palm Treo, slimmer but wider than the new Centro, a little thicker and about an ounce heavier than the BlackBerry Bold, it's slightly thicker than the iPhone 3G. more

KKR Private Equity Investors and KKR & Co. Agree to Business

Upon completion of the transaction, those interests would constitute 21% of the equity in the combined business. The remaining 79% of the equity in the combined entity would be retained by KKR executives. In addition, KPE unitholders would receive a contingent value interest providing consideration of up to an additional 6% of the equity in the combined company as of the completion of the transaction to the extent that KKR units trade below a specified threshold, tied to KPE's June 30, 2008 net asset value, three years after completion of the transaction.

The transaction does not involve the payment of any cash consideration or involve an offering of any newly issued securities directly to the public for cash. KKR executives are not selling any equity interests in the transaction. more
